Terms of Service
Two Step Social, LLC (“Two Step Social,” “we,” “us,” “agency,” or “our”), offers cost-effective digital marketing and social media management services to businesses globally. By utilizing our services, interacting with our team, or accessing information on our website, you (“client,” “you,” “your,” or “user”) acknowledge that you have read, understood, and agreed to our Terms of Service (“agreement” or “terms”) and Privacy Policy.
1. Service Guidelines
1.1 Delivery of Services: Two Step Social is committed to providing high-quality marketing services in a professional manner. Each client is assigned a social media manager as their primary point of contact and support. Effective collaboration depends on timely, honest, and detailed feedback from clients. Once deliverables are approved, the approval is considered final, and no further revisions will be accepted. You acknowledge that the package you have purchased includes the features listed under each package on our website, which are subject to change at any time.
1.2 Policies and Procedures: Two Step Social operates according to our standard policies and procedures, which may be updated at our discretion. We reserve the right to refuse service to any party at any time. This includes changes to pricing and package inclusions. By signing up for our services, clients agree to our Terms of Service and Privacy Policy. We will take necessary actions against any client who breaches these terms and conditions.
1.3 Resellers: Resellers, or those purchasing our service to fulfill obligations to third parties, are also bound by our Terms of Service and Privacy Policy. Resellers must pay for services in advance and are responsible for collecting payment from their clients. Two Step Social does not issue refunds to resellers for services rendered if their clients do not pay.
2. Social Media Accounts
2.1 Third-Party Platform Issues: Given our reliance on third-party social media platforms, we cannot control issues such as platform glitches, account disconnections, account control problems, or password changes. However, we will make every effort to resolve issues within our control. For issues outside our control, please contact the respective platform’s support.
2.2 Content Scheduling and Posting: You acknowledge that Two Step Social cannot schedule and post approved content until at least one platform is connected to our Scheduling Platform. If you are unable to connect your social media channels successfully, this does not warrant a refund, as we still create the content and posts for you. Should connection issues persist, you can download the posts and manually post them yourself. Our posting and scheduling services are provided as a free, value-added benefit, and therefore, no pro-rated refunds will be issued for related issues. We will, however, do our utmost to resolve any technical problems.
2.3 Client Responsibilities: We are not responsible for creating social media accounts for clients. You acknowledge and understand that Two Step Social cannot and is not responsible for obtaining access to your social media account(s). You will never be required to share any usernames, passwords, or login credentials to use our service. However, you agree to grant us administrator-level access to your social media accounts and profiles. You are responsible for maintaining the confidentiality of your account information, including your username and password, and for all activity that occurs under your account. You agree to notify Two Step Social immediately of any unauthorized use of your account.
3. Service Fulfillment
3.1 Communication Protocol: Due to the budget-friendly nature of our services, support and communication are provided exclusively through email. Phone or SMS support is not included by default. Clients may opt for an additional service package that includes a monthly content review call, available for an extra fee. Clients acknowledge that Two Step Social operates between 9:00 am and 5:00 pm Eastern Time, and any support requests outside these hours will be addressed on the following business day.
3.2 Onboarding Delays: After signing up for our service, there are two initial steps: completing an intake form with details about your brand, followed by an onboarding video call with your social media manager to gain access to your social media accounts. Failure to complete the onboarding questionnaire does not entitle you to a refund, and we will make a best effort to create posts with the information we have. Content creation for the next month will commence with the subsequent charge, even if it follows shortly after the prior month’s delivery approval. This means that we will not delay the scheduled renewal of a subscription due to approval delays.
3.3 Feedback Timeliness: Once deliverables are sent, we expect clients to provide feedback or approval within two business days. Delays that cause time-sensitive posts to become obsolete will not result in replacement posts. Our service includes only one round of revisions, and we reserve the right to set deadlines for feedback and revision requests. If feedback or approvals are not received by the time your next month’s charge is due, we will proceed with creating the subsequent month’s content to ensure continuous service delivery. Revision requests will not be accepted if more than 30 days have passed since the posts were sent for approval. As long as we have created and delivered your content, our service obligations are considered fulfilled.
3.4 Account Monitoring: Clients are responsible for regularly reviewing their social media accounts. Two Step Social is not liable for missed posts or for editing/removing content that has already been approved and posted.
3.5 Posting on Your Behalf: Our service includes the ability to approve posts that we create for you. Once you approve the posts, they will be scheduled and posted to your social media accounts that we have access to. We reserve the right to publish, post, and/or publicly release materials on your behalf. Two Step Social reserves the right to post to social media accounts to which you have granted us access, even if we have not received approval from you.
3.6 Content Creation: All specific post requests must be provided to Two Step Social by 5:00 pm US Eastern on the day following your subscription renewal. If specific requests are not received by this deadline, we will be unable to accommodate them. Requests submitted throughout the month will be utilized during the next subscription cycle. Since all posts within your selected package are created upfront, immediate post requests during the month cannot be fulfilled. When creating your posts, we will reference your website, intake form information, and any additional information you provide. You agree that Two Step Social may use similar, though not identical, templates, graphics, and copywriting for multiple clients.
4. Behavior and Collaboration
4.1 Respectful Interactions and Professionalism: Due to the high-volume nature of our business, we interact with many clients, most of whom are cooperative and respectful. However, instances of rude, impolite, or disrespectful behavior will not be tolerated. Should such behavior occur, we reserve the right to terminate the client’s account immediately and without prior notice. No refunds will be issued in such cases, without exception.
4.2 Collaboration Best Practices: We believe that our relationships with clients thrive on collaboration. Regularly monitor your accounts to ensure that posts are being published correctly. Provide us with clear instructions and feedback, treating our team as you would your in-house staff. One of the least productive actions is to remain silent for an extended period after we deliver your posts and then abruptly request cancellation due to dissatisfaction. Our team is skilled and capable of creating a wide variety of content for you. If the content does not meet your expectations, it is likely due to unclear communication regarding your preferences and requirements. Each of our plans includes one round of revisions, and we are willing to make the necessary changes based on your detailed feedback. Therefore, maintaining open and consistent communication is crucial for our collaborative efforts to produce content that aligns with your vision and enhances your social media presence.
5. Payments
5.1 Payment Terms: Service fees are payable in full and are collected on a monthly subscription basis. A valid credit card must be kept on file for monthly payments. By subscribing, you authorize Two Step Social to charge your credit card for the fees listed. Initial charges are paid upfront. Monthly management fees will continue until your subscription is canceled or modified. Any unpaid charges will result in the suspension of services until full payment is received. All payments are non-refundable.
5.2 Refunds: All services are non-refundable. Except for our thirty-day satisfaction guarantee, this policy has no exceptions. We offer low-cost social media content creation subscriptions, and we operate on a month-to-month basis, so you can cancel your subscription anytime. Due to potential connection issues with social media platforms, client onboarding responsibilities, and our monthly subscription model, all sales are final. You pay Two Step Social for custom digital content based on your onboarding form, feedback, and revisions. We do not guarantee satisfaction, marketing results, growth, or engagement, but we include one round of revisions with each of our plans. We do not guarantee any specific outcomes, as we are a creative service business. You are paying for the custom digital creatives that our team produces. No refunds will be offered due to account issues with social media platforms, although we will do our best to help you with any account issues.
5.3 Credit Card Disputes: All charges are presumed accurate unless you contact us within one (1) day after a charge has been made. Charges are considered valid if they correspond to the subscription you have signed up for or modified. You are responsible for a charge even if you forget to cancel your subscription. If you initiate a credit card dispute, all credits, refunds, and account work will be immediately suspended. We prefer negotiation over disputes. If you win a dispute, even if it contradicts our terms and conditions, we will send you an invoice for the disputed amount and any associated fees, with payment due upon receipt. If the invoice is not paid, we will pursue legal action, your account will be turned over to collections, and it will reported to all major credit bureaus.
5.4 Subscription Termination: You can cancel your subscription at any time through the Client Portal. Once logged in, click “Your Subscriptions,” select the subscription you wish to cancel, click the three dots in the right-hand corner, and choose “Cancel subscription.” Prorated refunds are not issued, as the work is completed upfront each month. We may terminate this agreement immediately if you breach any terms of this agreement or engage in behavior that we deem harmful to our business or reputation. Services will continue even if the client does not respond to or approve content. Unapproved content will remain unapproved, and thus it will not be posted, but refunds will still not be issued in this circumstance. Upon termination, you will remain responsible for any unpaid fees and charges. We will cease providing services, and you will lose access to any deliverables not yet provided.
6. Content, Performance, and Advertising
6.1 Use, Ownership, and Rights: You agree that any deliverables provided by us are intended solely for your personal or business use. You agree not to redistribute or resell the content provided by Two Step Social. By utilizing our services, you consent to comply with the content license agreements of the graphic design software services we use, including Adobe Illustrator, Canva, CapCut, and any other graphic design software utilized by Two Step Social. If you supply us with any digital content (photos, images, videos, logos, graphics, fonts, etc.) to be used in the creation of your content, we will assume that you have the appropriate rights for commercial and non-commercial use of that content. We are not responsible for verifying the licensing of content you provide. It is your responsibility to obtain the necessary permissions and licenses from the owners of any digital content supplied to us. You release Two Step Social from any liability arising from the use of materials you provide. Two Step Social utilizes stock photos, elements, icons, and other assets that are commercially licensed for the use of our clients. Excluding materials provided by the client, the content created by Two Step Social is licensed to you for use in a commercial capacity. This means you have the right to use the content in your business operations, but you do not own the rights to resell or redistribute the content.
6.2 Performance Disclaimer: Content creation is just one component of achieving business results. We do not guarantee specific outcomes, as we are a creative service provider with final approval resting with you, and numerous factors beyond our control affect results. You are paying for the creative deliverables our team produces based on your brief and feedback. We do not guarantee a specific number of leads or sales as a result of using our service. Our service is not designed to generate leads or sales directly.
6.3 Advertising: We reserve the right to use all materials created for you as part of our service for advertising, marketing, and promotional purposes. You grant us permission to showcase your company logo and social media links. By using our services, you grant us full permission to display the deliverables created for you in advertising materials, including but not limited to our website, our own social media accounts, brochures, blog posts, pamphlets, and other commonly used marketing materials. Please notify us in writing if you prefer that we do not use your social media in our advertising efforts.
7. Liability and Indemnification
7.1 Limitation of Liability: Two Step Social shall not be held liable for indirect, consequential, incidental, or special damages. Our liability is limited to the amount paid for the most recent one (1) month of services. There is an approval process for all digital content produced by Two Step Social before it is posted on your behalf. You agree that Two Step Social is not responsible for any negative outcomes resulting from the publication or posting of social media posts, captions, blog content, email content, or other general digital marketing content.
7.2 Client Indemnity: The client agrees to indemnify, defend, and hold harmless Two Step Social, its affiliates, and their respective officers, directors, employees, and agents from any and all losses, costs, damages, liabilities, and expenses (including reasonable attorney’s fees) arising from any breach of these terms or claims related to the use of any intellectual property. The client assumes full responsibility for any assets provided and used in posts. Additionally, the client indemnifies Two Step Social and its affiliates from any issues with content posted to their social media accounts that result in copyright infringement claims. The client assumes full responsibility for the content posted.
7.3 Social Media Accounts: The client agrees to indemnify and hold harmless Two Step Social and its affiliates from any losses, costs, damages, liabilities, and expenses arising from issues related to social media account suspensions, loss of access, deletion, or other third-party platform issues. The client acknowledges that issues with social media accounts are entirely outside of Two Step Social’s control.
7.4 Warranty Disclaimer: Two Step Social provides no warranties regarding this Agreement, the Services, or any materials or assistance provided. This includes, but is not limited to, warranties of merchantability, course of performance or dealing, trade practice, title, non infringement, and fitness for a particular purpose.
8. Dispute Resolution
8.1 Legal Jurisdiction: These terms and any claim or dispute arising out of or related to these terms or the transactions contemplated herein, whether in contract, tort, or otherwise, shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflicts of law principles. Any claims, legal actions, or proceedings arising out of or relating to these terms (whether for breach of contract, tortious conduct, or otherwise) shall be brought in the courts of Mecklenburg County, North Carolina, or the United States District Court for the Western District of North Carolina. The parties to these terms hereby accept and irrevocably submit to personal jurisdiction in North Carolina. These terms shall be binding upon and inure to the benefit of both parties, their successors, and assigns, including any corporation or person that may acquire all or substantially all the assets and business of either party or into which either party may be consolidated or merged.
8.2 Validity: If any provision of these terms is found to be invalid, void, or unenforceable, the remaining provisions shall continue in full force and effect and shall not be affected, impaired, or invalidated. The waiver by Two Step Social of a breach or failure to enforce any of the terms and conditions at any time shall not affect, limit, or waive Two Step Social’s right to enforce and compel strict compliance with every term and condition of these terms thereafter. In addition to any other damages that either party may be entitled to at law or in equity, should either party breach these terms, the prevailing party shall be entitled to recover its reasonable attorney’s fees, costs, and expenses incurred in enforcing the terms of these Terms of Service. In no event shall either party be liable to the other for punitive, special, or consequential damages, even if the other party has been informed of the possibility that such damages may result from any fault or breach.
9. Data Protection and Privacy
9.1 Client Data: Two Step Social is committed to protecting the privacy and security of your personal information. We will handle your data in accordance with our Privacy Policy, which outlines how we collect, use, and protect your information. In the event of a sale, merger, or transfer of Two Step Social’s business, customer data, including service-related information, may be transferred to the new owner.
9.2 Data Security: We implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk of processing your personal data.
9.3 Client Responsibilities: You are responsible for ensuring that any data you provide to us complies with applicable data protection laws and does not infringe on any third-party rights.
10. Force Majeure
10.1 Force Majeure Events: Two Step Social shall not be liable for any failure to perform its obligations under this agreement if such failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, war, government actions, or other emergencies.
10.2 Notice of Force Majeure: In the event of a force majeure occurrence, we will notify you as soon as reasonably possible, indicating the nature and expected duration of the force majeure event. In a force majeure event, we will issue a refund for the latest subscription payment.
11. Miscellaneous
11.1 Use of Services: You may use our services only for lawful purposes and in accordance with these terms. You agree not to use our services to violate any laws or regulations. Additionally, you agree not to engage in activities that may harm Two Step Social or its reputation, infringe or misappropriate the intellectual property rights of others, or compromise the security of Two Step Social’s infrastructure or that of its partners.
11.2 Employee Non-Solicitation: For a period of three (3) years following the engagement of our services, you agree not to hire, directly or indirectly, any of our employees or engage their services as independent contractors, unless otherwise mutually agreed upon by both parties.
11.3 Oral Representations: These terms constitute the final and entire agreement between the parties. No prior representations, oral agreements, or promises have been made or relied upon by either party other than those expressly set forth herein. Any changes or amendments to these terms must be in writing and signed by both parties.
11.4 Referral Program: We offer a “Give $50, Get $50” referral program. When a new client signs up using a referrer’s custom coupon code, a $50 discount is applied at sign-up, and the referrer receives a $50 credit. If the referrer is a current Two Step Social client, the credit will be applied to their next automated payment. If the referrer is not a client, the credit will be remitted to a PayPal account on a monthly basis. PayPal account details must be provided to Two Step Social. Credits and discounts cannot be applied retrospectively and are not awarded for previous referrals. Credits and discounts cannot be exchanged for cash or cash equivalents. We reserve the right to terminate this program at any time. All participating parties must agree to our Terms of Service and Privacy Policy.
11.5 Modification Rights: Two Step Social reserves the right to modify, amend, or replace the Terms of Service and Privacy Policy at any time. By continuing to use our services, communicate with our team, or access information on our website, you agree to and understand these modifications. Amendments to these terms will be posted at this URL and will be effective when posted. Your continued use of our service after the amendments are posted constitutes your agreement to those changes. It is your responsibility to read these terms carefully and check back regularly for any amendments.
11.6 Sale, Merger, or Transfer: Two Step Social retains ownership of customer relationships, including client contracts, subscriptions, and associated data generated through its services. In the event of a sale or transfer of the business, Two Step Social may assign or transfer client accounts and related services to a third party. In the event of a sale, merger, or transfer of Two Step Social’s business, customer data, including service-related information, may be transferred to the new owner.
11.7 Confidential Information: By agreeing to these terms, you acknowledge that in the course of our service provision, you may share only information with us that is non-confidential. Any information provided to us will be considered non-confidential and will be shared with our team as necessary to fulfill our services. You are responsible for ensuring that you do not share any proprietary or confidential information with us. As a provider of marketing services, the deliverables we create are intended to be made public by sharing them digitally with a public audience. Therefore, clients should only share information with Two Step Social that they intend to be public.
